Terms and Conditions

Last updated: October 17, 2026

These Terms and Conditions ("Terms") govern access to and use of the loyalty card platform operated by Jordi Espinoza Mendoza, an individual taxpayer (persona física, RFC EIMJ010323BU6) doing business as fidlat ("we," "us," "our"), including our dashboard, APIs, and the Apple Wallet / Google Wallet passes issued through it, and the online stores Merchants run on it. By creating an account or using the service you agree to these Terms. Three roles use the service: businesses that run a loyalty program or online store ("Merchants"), the Merchants' customers who enroll in a loyalty program ("Cardholders"), and people who buy from a Merchant's online store ("Shoppers").

1. The service

We provide a platform for Merchants to run points-based or stamp/punch-card loyalty programs, issued as real passes in Apple Wallet and Google Wallet. Passes update automatically as Cardholders earn or redeem points/stamps. Wallet passes require an active paid subscription.

Merchants can also sell online, through a store hosted by us (at /shop) or through their own website using our store API, with payments processed by Stripe and paid out to the Merchant's own Stripe account.

2. Accounts

Merchants must provide accurate account and business information and are responsible for all activity under their account, including actions taken by their staff. Notify us immediately at hello@fidlat.com of any unauthorized use.

3. Subscriptions and billing

  • New accounts get a 30-day free trial, with no card required, limited to 50 members. Selling through the online store is not available during the trial.
  • Paid plans are billed monthly in advance via Stripe. Prices are in Mexican pesos and include IVA.
  • An active paid plan unlocks Apple Wallet and Google Wallet passes, unlimited members and the online store, as described at checkout.
  • If a payment fails, the service keeps working for 7 days while it is retried. After that, pass updates, new members and the online store pause until the payment is made.
  • When the trial or a plan ends, passes already in customers' wallets stop updating, but your data is kept and everything resumes when you subscribe.
  • Fees are non-refundable, including partial periods, except where required by law.
  • You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • We may change prices with 30 days' notice for future billing periods.

4. Acceptable use

Merchants agree not to:

  • Use the service to collect Cardholder data without a lawful basis or required consent
  • Issue passes for a business other than the one registered on the account
  • Attempt to interfere with, reverse-engineer, or overload the platform or its APIs
  • Use the service for any unlawful, fraudulent, or deceptive purpose
  • Sell products that are illegal, prohibited by Stripe, or age-restricted without verifying age at delivery

5. Cardholder and Shopper data

Merchants are the data controllers of their Cardholders' and Shoppers' personal data. They are responsible for having a lawful basis to collect and process it, for publishing their own privacy notice, and for their own communications with them (e.g. promotional messages). Our handling of that data as a processor is described in our Privacy Policy.

6. Wallet passes

Apple Wallet and Google Wallet are third-party services subject to their own terms. We do not control, and are not responsible for, their availability, device compatibility, or how they render a pass. A pass balance is only as current as the last successful push/patch to that platform.

7. Online store

  • The Merchant is the seller of everything sold in its store. We provide the software and are not a party to any sale between a Merchant and a Shopper. Shoppers pay the Merchant directly: payments are made to the Merchant's own Stripe account, and we never receive or hold the money from a sale.
  • Merchants who sell through the online store also accept our Seller Terms, which form part of these Terms, and Stripe's Connected Account Agreement. A store can't be published until the Merchant has completed its legal details (legal name, RFC, address, contact details, terms of sale and privacy notice) and accepted the current Seller Terms.
  • Merchants are responsible for their products, prices, permits, fulfillment, customer service, cancellations, returns and refunds, and for the taxes on their sales, including issuing invoices (CFDI) to Shoppers.
  • Refunds, chargebacks and disputes are the Merchant's responsibility and are handled from its own Stripe account.
  • We charge no commission on store sales; the online store is included in the subscription. Any service fee shown to Shoppers is charged by and belongs to the Merchant.

8. Shoppers

A purchase from an online store is a contract between the Shopper and the Merchant, under the Merchant's terms of sale and privacy notice, which the store shows before payment. Questions about an order, its delivery, cancellations or refunds go to the Merchant, whose contact details appear on the store's legal information page. Card payments are handled by Stripe; we never receive or store full card details.

9. Intellectual property

We retain all rights to the platform, its software, and branding. Merchants retain rights to their own business branding, logos, and content uploaded to the platform, and grant us a license to use it solely to operate the service (e.g. rendering it on a wallet pass).

10. Disclaimers and limitation of liability

The service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, Jordi Espinoza Mendoza is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the fees paid by the Merchant in the 3 months preceding the claim.

We are not the seller of products sold through online stores and are not liable for their quality, safety, description, delivery, or for a Merchant's handling of returns and refunds.

11. Termination

We may suspend or terminate an account for breach of these Terms or the Seller Terms, non-payment, fraud, a high dispute rate, or unlawful use, including hiding an online store or disconnecting its Stripe account. Merchants may terminate by canceling their subscription and closing their account.

12. Governing law

These Terms are governed by the laws of the United Mexican States, with disputes submitted to the competent courts of Tijuana, Baja California, without regard to conflict-of-law principles, without prejudice to any mandatory consumer-protection rights available to Mexican or U.S. Cardholders and Merchants under their local law.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above; continued use after a change constitutes acceptance.
